Patanjali promoters set to dilute 6% stake to meet minimum shareholding norms

Patanjali Foods made an announcement on Wednesday that its promoters are planning to sell shares to institutional investors in June. The purpose of this share sale is to meet the minimum public shareholding norms, which mandate a 25% stake. As part of this plan, the promoters of Patanjali Foods intend to dilute their ownership by 6%.

Patanjali Foods Ltd (PFL), formerly known as Ruchi Soya Industries, underwent an acquisition in September 2019. The acquisition was carried out by the Patanjali Group led by Baba Ramdev through a corporate insolvency resolution process.

In an interview with PTI, Ramdev said, “We are planning to meet the minimum shareholding norms as prescribed by the market regulator SEBI.”

Furthermore, he stated that the company aims to reduce its stake by approximately 6% in June through a combination of Qualified Institutions Placement (QIP) and Offer for Sale (OFS).

“We have already started roadshow from Wednesday and there is a great interest from global investors,” Ramdev said.

Currently, the public shareholding in PFL stands at 19.18%, and it is required to be raised to a minimum of 25%.

According to Rule 19A(5) of the Securities Contracts (Regulation) Rules, 1957, it is mandatory for a listed entity to maintain a minimum public shareholding (MPS) of 25%.

PFL currently holds a market capitalization of approximately INR 38,000 crore. On Wednesday, its shares on the BSE closed at INR 1,047.85 per scrip, reflecting a 2.56% increase compared to the previous closing price.

When asked about the amount which PFL will raise through dilution of stake, its CEO Sanjeev Asthana said, “It will depend on the market condition and interest of investors.”

On the preferred route for selling shares, he said, “Either it will by QIP or a combination of QIP and OFS.”

In March, the shares of the promoters of PFL, a prominent edible oil player and a part of the Ramdev-led Patanjali Group, were frozen by the NSE and BSE stock exchanges.

At that time, PFL had notified that the prominent stock exchanges BSE and NSE had frozen the shares of 21 promoter entities, which included Patanjali Ayurved and Acharya Balkrishna. Acharya Balkrishna serves as the Managing Director of Patanjali Ayurved and is a Co-Founder of Patanjali Yogpeeth Haridwar. The freeze was initiated due to the promoter entities’ failure to meet the minimum public shareholding norms.

PFL announced on Tuesday a 12% rise in its net profit to INR 263.7 crore for the quarter ending March 2023.

In the corresponding period of the previous year, its net profit stood at INR 234.43 crore.

According to a regulatory filing, the total income of PFL increased from INR 6,676.19 crore in the corresponding period of the previous year to INR 7,962.95 crore in the fourth quarter of the last fiscal.

In the complete fiscal year of 2022-23, the net profit of PFL rose to INR 886.44 crore compared to INR 806.30 crore in the preceding fiscal year.

In the previous fiscal year, PFL’s total income surged to INR 31,821.45 crore, representing a significant increase from INR 24,284.38 crore recorded in 2021-22.

Coca-Cola’s global Chief Executive, James Quincey, has flown into India to assess the performance of the beverage maker’s fifth largest market by volumes, as confirmed by executives familiar with the matter. During his visit to India, Quincey is set to address employees, meet with bottling partners, and conduct market visits, aiming to gain insights into the local operations and opportunities for growth.

India holds immense significance as a pivotal market for Coca-Cola. The beverage giant is actively focused on fostering the growth of soft drinks in the country, leveraging its unwavering stability in the face of global volatility.

Despite sending an email to Coca-Cola inquiring about Quincey’s visit and requesting details and comments, no response has been received thus far.

“India is a high priority market for Coca-Cola, with huge under-penetrated category potential, providing a significant runway for growth. Hence the importance of this market among company leadership,” an executive with knowledge of the developments said.

In recent months, John Murphy, the global President and Chief Financial Officer of the company, also made a visit to India.

The beverage maker based in Atlanta acknowledged its India unit’s remarkable performance in 2022, with the country being its fifth largest market in terms of volume. However, the current April-June quarter has been characterized by uncharacteristically cool weather and excessive unseasonal rainfall in North India, affecting the demand for summer-specific products such as soft drinks, ice creams, and air conditioners.

The April-June summer period, which typically contributes a significant portion of annual sales for soft drinks, is experiencing a unique situation across North India. According to the weather forecaster IMD, there is no heat wave observed in the region, marking a departure from the usual weather patterns seen since 2014.

In its global earnings statement, Coca-Cola reported that its India unit had increased the availability of its products to over 300,000 stores during the last reported January-March quarter. This expansion in distribution resulted in a remarkable 3 billion transactions for the company.

Ahead of the summer season, the beverage maker of Coke and Thums Up revealed that it had successfully incorporated 40,000 new coolers during the quarter.

Quincey commended the Indian economy, characterizing it as “resilient” and highlighting its robust job market and strong consumer demand. He attributed the growth of their business in India to a higher number of retailers, strategic investments in modern cold-drink equipment, and effective pricing strategies.

Effective June 2023, Sharma’s expertise and experience will be instrumental in shaping Zepto’s operational excellence and ensuring continued growth and success.

Last month, Zepto, a company backed by Y Combinator’s Continuity Fund, made an announcement regarding the appointment of Ramesh Bafna as its Chief Financial Officer.

In June of last year, Ramesh Bafna assumed the role of Chief Financial Officer at CoinSwitch Kuber, a crypto trading platform. Recently, he transitioned from his position at CoinSwitch Kuber to join Zepto as their CFO. This decision aligns with Zepto’s goal of going public within the next two to three years, a plan set forth by the Mumbai-based startup.

According to a statement released by the company, Dhanani, who joined Zepto from the prominent ecommerce company Flipkart in July 2021, has been assigned the responsibility of integrating Zepto’s buy-side and sell-side category teams.

Meanwhile, in his new role as the COO, Vikas Sharma will now directly lead operations end-to-end. He will oversee and manage every aspect of the company’s operations, starting from the back-end distribution centers all the way to the last-mile delivery. Additionally, he will also be responsible for handling supply planning, ensuring a seamless and efficient flow of products throughout the entire process. This strategic appointment will enable Vikas Sharma to bring his expertise and leadership to streamline and optimize the operational functions of the company.

According to an official statement from the company, Jhaveri is set to assume the role of chief growth officer at Zepto, as Amritansu Nanda, the current holder of the position, will be departing to pursue a career break.

“Amritansu was pivotal in building the growth team from scratch and scaling Zepto into one of the fastest-growing internet companies in Indian history. After an incredible stint at Zepto, Amritansu will be moving on to take a well-deserved career break to focus on his family and health, and the Zepto team genuinely wishes him well,” the company said on Wednesday.“With a leadership team as strong as the one we have today, I am confident that we will build Zepto into a generational public company within 2-3 years,” Aadit Palicha, Co-founder and CEO, Zepto, said in a statement.

In May of the previous year, Zepto successfully secured a funding round, raising $200 million and achieving a valuation of $900 million. Within the online grocery industry, Zepto faces competition from various players including Swiggy Instamart, BigBasket with Tata backing, Blinkit under Zomato’s ownership, and Dunzo supported by Reliance.

Top deck reshuffle across the board

Zepto’s recent reorganization closely follows similar shifts in top management seen at other prominent food and grocery delivery companies such as Zomato and Swiggy.

Earlier this month, Zomato, headquartered in Gurgaon, made significant executive appointments. Rakesh Ranjan and Rinshul Chandra were promoted to the positions of Chief Executive Officer and Chief Operating Officer, respectively, for the food ordering and delivery vertical. Additionally, Rishi Arora was appointed as the CEO of Zomato’s business-to-business vertical, Hyperpure.

Prior to their recent appointments, Rakesh Ranjan served as the Business Head of New Businesses at Zomato, while Rinshul Chandra held the position of Vice President of Product within the company. On the other hand, Rishi Arora brings nearly nine years of experience from his tenure at Blinkit, previously known as Grofers, where he held the role of Senior Vice President of Operations. In July of last year, Arora was promoted to the position of Co-Founder at Blinkit.

Meanwhile, Swiggy, the Bengaluru-based food and grocery delivery platform, has been experiencing a wave of senior executive departures in recent months. Adding to this trend, it was reported on May 29 that Anuj Rathi, the current Senior Vice President of Revenue and Growth, is set to leave the company.

Apart from Rathi, Swiggy has also witnessed the departure of its Chief Technology Officer, Dale Vaz, and Vice President of Marketing, Ashish Lingamneni. Meanwhile, Karthik Gurumurthy, the head of the quick commerce business Instamart, is currently on a sabbatical, and Nishad Kenkre, the Vice President and Head of Revenue and Growth at Instamart, has left the company.
